CONTRIBUTOR LICENSE AGREEMENT

Thank you for your interest in contributing to Avo. By submitting a contribution (including any related materials or documentation), you agree to the terms and conditions of this Contributor License Agreement (the "Agreement"). This license protects You and Us and does not affect Your rights to use Your own Contributions for any purpose. By accepting this license, You agree to the following terms and conditions for all present and future Contributions submitted to Us. You retain all rights, title, and interest in Your Contributions except for the license granted to Us and recipients of software distributed by Us.

1. Definitions

"You" or "Your" shall mean the individual or legal entity that is making the Contribution.

“We” or “Us” shall mean the Project owners, specifically Dependev SRL.

"Contribution" shall mean any original work of authorship, including any modifications or additions to an existing work, that You intentionally submit to Us for the inclusion in, or documentation of the Project. For the purposes of this definition, "submitted" means any form of electronic, verbal, or written communication sent to Us or our representatives, including but not limited to communication on electronic mailing lists, source code control systems, and issue tracking systems that are managed by, or on behalf of, Us for the purpose of discussing and improving the Project, but excluding communication that is conspicuously marked or otherwise designated in writing by You as "Not a Contribution."

"Project" shall mean the project to which the Contribution was submitted.

2. Grant of Rights

Copyright License. You hereby grant to Us and to recipients of software distributed by Us a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contribution and such derivative works.

Patent License. You hereby grant to Us and to recipients of software distributed by Us a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable patent license to make, have made, use, sell, offer for sale, import, and otherwise transfer Your Contribution, where such license applies only to those patent claims licensable by You that are necessarily infringed by Your Contribution(s) alone or by combination of Your Contribution(s) with the Project to which such Contribution(s) were submitted.

You represent that You are legally entitled to grant the above licenses. If Your employer(s) has rights to intellectual property that You create that includes Your Contribution, You represent that You have received permission to make the Contribution on behalf of that employer, or that Your employer has waived such rights for the Contribution.

You acknowledge that the Project and/or any derivative works may be distributed under different licenses.

3. Your Warranties and Indemnification

You warrant that the Contribution:

(a) Is Your original work and that You have the right to grant the rights contained in this Agreement; or

(b) Is based on previous work that is covered under a suitable open source license, and You have the right to submit the work with modifications under the same open source license; or

You understand that this Project and the Contribution are public and that a record of the Contribution (including any personal information You provide with it, such as your sign-off) will be kept indefinitely and may be redistributed in accordance with this Project or the applicable license(s).

You will indemnify, defend, and hold harmless the Project and its distributors, as well as any party who may modify and/or redistribute the Project, for any liability incurred by the Project or such parties as a result of any claims resulting from Your breach of this Agreement.

4. Termination

This Agreement shall terminate automatically if You breach any of the terms and conditions of this Agreement.

5. Miscellaneous

This Agreement shall be governed by the laws of Romania.

This Agreement constitutes the entire agreement between You and Us and supersedes all prior proposals, agreements, or other communications.

Any waiver of the terms and conditions of this Agreement must be in writing and signed by both parties.

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

A party's failure to exercise any right under this Agreement shall not constitute a waiver of future enforcement of that right. A waiver of any breach of this Agreement

6. Relationship of the Parties

This Agreement does not create any partnership, joint venture, employment, or agency relationship between You and Us. You do not have any authority to bind the Project in any way.

7. Attribution

You acknowledge that We are the sole owner of the Contribution and all intellectual property rights therein. You agree to include the following attribution in all copies or substantial portions of the Contribution:

"Contributed by [Your Name] to the Avo project."

8. Future Changes to this Agreement

We reserve the right to modify this Agreement at any time. Any modifications will be effective immediately upon posting of the modified Agreement. You are responsible for regularly reviewing this Agreement. If You do not agree to the modified terms, You must immediately stop contributing to the Project. Your continued contribution to the Project after the posting of the modified Agreement will constitute Your acceptance of the modified terms.
